General Terms and Conditions for Companies (GTC)

1. Scope and Contracting Parties
These General Terms and Conditions (GTC) govern the use of the Stareerz career platform by companies (hereinafter "Customer") and apply exclusively to legal entities. The platform operator is Stareerz AG, headquartered in Switzerland (hereinafter "we" or "Platform Operator"). By registering a corporate account or concluding a separate cooperation agreement, the Customer agrees to these terms. The Privacy Policy is regulated separately but constitutes an integral part of platform usage.
2. Services of the Platform Operator
The Platform Operator provides an online platform through which employers can create company profiles, publish search profiles, and find talents via matching. The Platform Operator provides no guarantee of success. Matching is non-binding, and the responsibility for talent selection lies solely with the Customer. "Talents" are defined as private individuals seeking employment or career opportunities. The software is generally accessible 24 hours a day, 7 days a week. This excludes restricted access due to maintenance work, which will be announced on the login portal. Internet connectivity and the required hardware/software for usage are the sole responsibility of the Customer. The Platform Operator applies customary professional care. Adjustments to the platform may be made at any time without notice, provided they do not impair the Customer’s performance claims.
3. Registration and User Contract
Usage requires the registration of a corporate account. All information provided must be complete and truthful. The Customer must treat access data confidentially. There is no legal entitlement to registration. The user contract is formed upon activation of the corporate account.
4. Use of the Service
The platform must be used only for its intended purposes. Content or accounts that violate the law, the principle of good faith, or these GTC may be removed or temporarily blocked. There is no claim to specific functions as the platform is subject to continuous development.
5. Obligations of the Customer
The Customer shall only upload lawful, current, and correct content. Data must remain accurate throughout the contract duration and be updated as necessary. Access data is confidential and may not be shared. Using the platform to circumvent the placement process or unauthorized disclosure of talent data is prohibited. Breach of contract may lead to immediate termination and claims for damages.
6. Placement and Cooperation
The Platform Operator suggests talents to the Customer. Placement success occurs if a suggested talent is employed, engaged, or enters into any form of contractual relationship with the Customer, regardless of the employment model. The Customer must promptly inform the Platform Operator of any concluded contract and actively support the placement process.
7. Fees and Payment Terms
Platform usage is free of charge. A placement fee becomes due only upon successful engagement of a talent. Fees are agreed upon individually and confirmed separately. Invoices must be paid within the specified period, or at latest within 30 days. In the event of default, access may be blocked and statutory interest under Swiss law shall apply.
8. Term and Termination
The contract is concluded for an indefinite period. It may be terminated by either party via email with a notice period of 30 days. Extraordinary termination for cause is possible at any time.
9. Liability and Warranty
The Platform Operator is liable only for damages caused by intent or gross negligence. Talent selection and verification are the Customer's responsibility. No guarantee is provided for talent availability or suitability. While the Operator strives for uninterrupted access, it does not warrant error-free operation. Further liability, especially for indirect damages, lost profits, or data loss, is excluded to the extent permitted by law. The Customer is responsible for their own data backups.
10. Final Provisions
The Platform Operator reserves the right to amend these GTC at any time. Changes will be communicated at least 30 days in advance. If the Customer does not object in writing via email within this period, the new GTC shall take effect. Swiss law applies exclusively. The place of jurisdiction is the registered office of the Platform Operator. If any provision is invalid, the remaining provisions remain unaffected.
